Terms of Service

Effective Date: September 2025

1. Introduction

Welcome to IllusionTech Development (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, products, and services (collectively, the “Services”). By engaging with IllusionTech Development, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Services Provided

IllusionTech Development specializes in:

• Website Design & Development
• UI/UX Design
• Automation Solutions
• Support & Maintenance

A detailed scope of work will be defined in a Master Service Agreement (MSA), Non-Disclosure Agreement (NDA), invoice, or project proposal, all of which form part of this contract.

3. Payment Terms

• A mandatory 50% deposit is required before any project work begins.
• Clients may choose to pay 100% upfront instead.
• The remaining balance must be paid in full upon project completion, prior to delivery of final files, credentials, or deployment.
• Payments are non-refundable once work has commenced.
• Late payments may result in service suspension until balances are cleared.

4. Intellectual Property

• Upon full payment, ownership of the final deliverables will transfer to the Client.
• IllusionTech Development retains the right to showcase completed projects in portfolios, case studies, or marketing materials unless otherwise agreed in writing.
• Any third-party software, licenses, or assets integrated into the project remain subject to their respective licenses.

5. Confidentiality

• Both parties agree to maintain the confidentiality of sensitive business, financial, or project-related information.
• Confidentiality terms are further reinforced in our NDA, which applies to all projects.

6. Client Responsibilities

Clients agree to:

• Provide accurate information, content, and materials necessary for project completion.
• Respond to communication and feedback requests in a timely manner.
• Secure rights to all materials provided to IllusionTech Development (e.g., logos, images, text).

IllusionTech Development is not liable for delays caused by lack of client communication or resources.

7. Revisions & Scope of Work

• Each project includes a set number of revisions as specified in the proposal.
• Additional revisions, features, or requests beyond the agreed scope will be billed separately.
• IllusionTech Development reserves the right to adjust delivery timelines if scope changes occur.

8. Delivery & Acceptance

• Completed projects will be delivered as per the agreed scope and timeline.
• The Client must review and accept deliverables within 7 business days of delivery.
• Lack of response within this timeframe will be deemed as acceptance.

9. Warranties & Liability

• IllusionTech Development will deliver services in a professional and workmanlike manner.
• We do not guarantee specific business outcomes, sales, or search engine rankings.
• Our liability is limited to the total amount paid by the Client for the project in question.
• We are not liable for indirect damages, loss of profits, or business interruption.

10. Support & Maintenance

• Ongoing support and maintenance are available under separate service plans.
• Unless explicitly agreed, project delivery does not include indefinite updates or technical support.

11. Termination

• Either party may terminate a project with written notice.
• If the Client terminates before completion, payments already made are non-refundable, and additional work completed may be invoiced.
• IllusionTech Development may terminate services if the Client breaches these Terms or engages in abusive conduct.

12. Governing Law

These Terms shall be governed by and construed under the laws of Trinidad & Tobago, without regard to conflict of law principles.

13. Modifications

IllusionTech Development reserves the right to update or modify these Terms at any time. Updates will be posted on our website, and continued use of our Services constitutes acceptance.
